Annual General Meeting

February 22, 1997

Held at offices of Tousignant Young

NOTE: Discussions with Dale immediately prior to the adjournment of the meeting have been included under the pertinent item

1.  Minutes of previous meeting accepted

 

2.  Matters arising

a.  Distribution of Rifles

Duane noted that last summer he saw the rifles and ammunition in the upper closet in the boys’ bedroom. Dale will ensure that rifles are placed in the storage area above the bathroom with trigger locks intact and will secure the ammunition in the locked ammunition box.

Vic, Duane and Dale will distribute the rifles under consultation with Sharyn who will ask Jim and Michael if they have any interest in having one. Sheila does not want one.

It was stipulated that any person desiring a rifle must take the required course and get a firearm acquisition certificate.

 

b.  Major Maintenance Jobs

A labour levy of $100.00 per shareholder block will be in effect for one or two day work bees where more than one family is involved, such as

the roof repair done in October 1995. This levy will be payable in cash or through the contribution of two family members at $50.00 per member (maximum credit of $100.00 per Shareholder Block) for a one day job.

Bigger endeavors, such as laying a foundation under the house and developing the basement, will need to be addressed as they arise.

 

c.  Storage Lockers

Sharyn will ask Michael if he could transport the lockers when he travels to the lake  to get  his boat. We would forego Michael’s User Fee for this t ri p.

The Shareholders wish to acknowledge   that many members   and their families are contributing in a variety of ways to keep the Cabin going and maintained. We believe that we work as a team and ALL EFFORTS ARE MOST APPRECIATED!!

 

3.  Trucks and Camper

a.  Concern was expressed about the camper continuing to sit in the yard. Sharyn will speak to Rhonda and ask her if she wants the camper. If she does not, Dale agrees to look into selling it.

Dale will try to sell green truck, possibily  driving  it  into  Vernon  using  in transit insurance. Our  plan is to have  the  green  truck  and camper  off  the lot by the end of this summer at the latest.

b.  Insurance of Gold Truck

Sharyn will  take  care of getting  the  registration of both  trucks transferred to Signant Two Holdings Ltd. Sharyn and Vic will take care of insuring gold truck so that it is available for hauling wood. Ask Dale if it needs repairs. Dale would like  to have  it  insured  by  his  spring break, March 15, if possible.

 

4.  Timeline for Summer Booking Procedure

In order to better accommodate the need to know summer vacation plans by November of the previous year, we have changed the summer booking deadlines to the following:

*****By November 15, Members with Priority 1, 2 and 3 must have booked for the following summer.

*****By November 30, Members with Priority 4 and 5 must have booked for the following summer.

The remaining Member receives the remaining time slot.

*****It is agreed that MEMBERS MUST BOOK BY THE ABOVE-MENTIONED DEADLINES OR RELINQUISH THEIR PRIORITY FOR THAT SUMMER.***”*

FURTHER, it is each MEMBER’S RESPONSIBILITY to call the booking agent.

The booking agent is not responsible to call the Members to remind them of the booking deadlines or to ask their intentions for Summer Usage.

 

REGARDING SUMMER 1998 BOOKINGS, PLEASE BE ADVISED:

The Order of Priority is as follows:

Sheila  Book by Nov. 15, 1997 Vic -Book by Nov. 15, 1997

Dale – Book by Nov. 15, 1997

Rhonda – Book by Nov. 30, 1997

Sharyn – Book by Nov. 30, 1997

Duane – Receives remaining time slot, December 1, 1997, or makes his choice when he calls booking agent, if more than one time slot  remains.

 

5.  Bookings for Summer 1997

This summer, there are two new aspects to the scheduling.

FIRSTLY, since Rhonda and family are not able to make use of their time block at the cabin, the summer has been divided into 5 equal slots.

SECONDLY, the schedule does NOT provide for overlap. Each Member has the use of the cabin for the duration of the dates indicated, INCLUDING the first and last days.

Our mutual understanding is that when one party comes, the previous party has gone and everything is clean  and put away.

As well, the general understanding is that it is up to the Member slotted in a given time to do the  inviting  of  others  to  overlap  or  visit,  if  in  the area. It has been the experience of some members that they have been put on the spot by  another member asking if she or he can overlap or visit when in the area. Sensitivity   in this   respect   would   be   greatly appreciated.

 

The following is the schedule of Bookings for Summer 1997

Slot 1: June 28  July 10:           Sheila and Keith

Slot 2: July 11  July 23:            Vic and Kathleen

Slot 3: July 24  August 5:         Duane and Paulette

Slot 4: August 6  August 18:     Sharyn and Jim

Slot 5: August 19  August 31:   Dale and Melanie

 

6.  Pre-summer Bookings 1997

It was noted that we do not have a procedure for booking blocks of time outside the summer months other than the long-weekend procedure.

It was agreed that the same procedure applies, including the order of priority, the advance notice needed and the obligation of the Member using the cabin to inform Dale at least 2 weeks in advance of the booking.

PLEASE REVIEW APPENDIX 1, “Non-summer Booking Procedure.”

 

7.  Housekeeping for Mom

This item was moved to #14, “Other Matters.” It was acknowledged that the time had expired on the Veterans’ Affairs offer to finance particular amount for housecleaning.

 

8.  Positions & Administrators

Resolutions pursuant to Sections 136 and 112 of the Business Corporations Act were signed by the 4 Members present. Along with minutes, Sheila will forward these to Dale and Rhonda for  signing.

 

9.  Year End Review

a.  Deep Cleaning of Cabin

Agreed that assigning one major cleaning task to users during each time slot, as follows, will ensure better maintenance of Cabin since all the major bases will be covered, yearly.

Slot Task

1: WINDOWS -inside and out; recommend squeegee under kitchen sink

2: WASHING BLANKETS AND COMFORTERS -those used regularly on beds 3: MAJOR DUSTING OR WASHING -lights, cobwebs, tops of cabinets

4: MAJOR VACUUMING -including under all furniture and beds

5. FRIDGE & STOVE -inside and out, including moving & cleaning under

It was also acknowledged that this Deep Cleaning Schedule shows good modeling for our children who are the next generation who will manage and care for the Cabin.

 

b.  Regular Cleaning

It was suggested that a good rule of thumb when cleaning the Cabin after use during one’s booking is to “Leave the Cabin cleaner than you found it.”

 

c.Vacuum

We do not have a good vacuum at the Cabin and have decided to purchase a built-in  vacuum   system   which  will  enable   a  better  regular   cleaning  of the carpets and, as a  result,  a  more  sanitary  environment,  including healthier air.

We 4 Members in Calgary will keep an eye out for a good sale on a built- in vacuum system, here, since it is acknowledged that installation is not difficult. (Both Vic and Duane have experience).

Dale will keep an eye out in Vernon, as well, since he may find an offer which includes installation. 

 

d.  Representation at Annual General Meeting

It is agreed that beginning next year, spouses and adult children of shareholders (those 18 years and older) will be invited to attend the Annual General Meeting.

We recognize that the contribution of ideas and suggestions of family members will add to the efficiency and success of our Annual Meeting. Spouses are very much involved  in  the  actual  responsibility  for  the Cabin, including financial. As well, our children can gain an understanding of all that is involved in maintaining and managing  the Cabin.

NOTE ** Shareholders retain the power to vote on proposals.

 

10.  Annual Assessment

Considering our present bank balance of $4064.90, no increase in the annual assessment or maintenance levy will be made at this time.

FINANCIAL RESPONSIBILITIES per Member remain the following:

Annual Assessment – $500.00, payable on or before June 1st annually Maintenance Levy  $ 15.00 per month (in effect since July 1996) Mortgage Payment  $ 50.00 per month

User Fees —- $ 5.00 per head, per night

 

11.  Financial Statements

Present bank balance: $4064.90

Dale will advise Jennifer of allocation of his $300.00 payment, Jan. 1997.

In order to conserve paper, financial statements will no  longer  be photocopied for each Member. The statements are at the offices of Tousignant Young in a binder and are available at any time for review by any Shareholder.

 

12.  Signant Two Resolutions

See #8, above.

 

13.  Archives

The metal foot locker for archives is by the organ. Anyone is invited to add any items regarding the history of the Cabin or the Fintry area.

 

14.  Other Matters

 

a.  Family-related items

i.   Charlebois Reunion Picnic, July 12 , 1997 (+JuIy 13, optional)

ii.  Thetrault Family Reunion, August long weekend 1997

iii. Alberta Energy Co. Shares

Vic is in process of getting shares transferred from Dad’s name to Mom’s name

iv. Enduring Power of Attorney

Vic is setting this up for Mom. Mom will sign a document giving Sharyn, first of all, the power to  deal  with  Mom’s financial affairs. This power will endure beyond Mom’s loss of capacity (i.e. inability to take care of her  own  financial affairs), in the event this ever happens.

If Sharyn is unable to execute this power, the power would pass to Vic, and if he were unable to execute this power, the power would pass to Duane. Vic believes having two alternatives, apart from Sharyn, should suffice.

Mom thinks having the Enduring Power of Attorney in place is a good idea.

All present agreed that this is a wise step to take, on Mom’s behalf.

 

b.  Cabin Matters

i.  Ants

Dale was asked to take a good look at  the  “ant  situation”  next time he is out and perhaps put out ant traps as a preventative measure. We need to keep an eye on this since the Cabin is vacant so much of the year. Our goal, naturally, is to prevent infestation.

 

ii.  Propane Tank

Since the tank is empty, Dale will have the valve replaced (as Dad had  suggested) and will then put in approximately $250.00 worth of propane.

 

Meeting adjourned at 1:30 PM after conferencing with Dale by phone. Rhonda will be called later, at her request.

As always, Mom will be provided with a copy of the minutes.

 


 

Addendum to Minutes

For the information  of all Members, as of March 22, 1997, the secretary has learned the following.

 

a.  Sharyn has confirmed that Rhonda does not want the camper; therefore, Dale can look into selling it.

 

b.  Sharyn and Vic have learned that since the gold truck is left in B.C. year-round, it MUST be registered and insured in B.C. Dale has kindly agreed to look into this, as well.

APPENDIX 1

Non-summer Bookings

 

These include long-weekend and other time blocks such as 1 or 2 weeks.

In a given Booking Year, the Order of Priority will be used  in determining Cabin usage outside of the summer months.

 

How to Book

1.  At least 2 weeks prior to the time block you are interested in, call the Members above you in priority to verify whether they have an interest in that time block.

2.  If all is clear with them, book with the booking agent.

3.  Any Shareholder other than Dale who is exercising their priority for a given time block IS RESPONSIBLE to inform Dale at least two weeks prior to the time block, once the booking agent has confirmed their booking.

4.  Once a Shareholder has exercised his or her priority for non-summer bookings in a given Booking Year, those further “down” the list from him or her have priority over him or her for a future non-summer time block in that same year.

Of course, if a Shareholder expresses interest in using the Cabin during a second or even a third non-summer time block, his or her usage of the Cabin is possible if all those who then have priority over him or her are not interested in that time block.

The Booking Year spans October 1 to September 30 of the following year. In this way, the Labour Day long weekend is the final long weekend of a given Booking Year.
