Out-Of-Summer Cabin Booking Guidelines

(adopted at Signant Two 2021 AGM Part I, Dec 13, 2021)

Introduction. The shareholders of Signant Two Holdings Ltd. have developed these guidelines not because they think there has been a problem, but in hopes of preventing problems and avoiding a race to the calendar. Until now there is nothing preventing a shareholder from booking a particular long weekend, for example, for the next 5 or 10 years. They have been adopted in principle, and are already in effect, subject to certain abnormalities already booked.

“Shareholder” means one of the Original Six Shareholders under the Unanimous Shareholder Agreement dated February 12, 1994 or the block of shares held by the successors of any of those Original Six Shareholders;

“Summer means from the day after the end of the elementary public school year in Calgary to Monday of the following Labour Day weekend.

Overall priority. In developing these guidelines the shareholders recognize that there will always be exceptions. For instance, a shareholder or guests coming from a distance, or to attend a special event, may precipitate a request to book farther in advance than contemplated by these Guidelines. In addition, we recognize that shareholders coming to complete work projects should have some sort of priority to select convenient dates.

Guidelines. These guidelines apply to out-of-summer bookings only except for the general principals that any bookings should always be made so as to begin on the day after the preceding slot, if any, and that all bookings should be made as a family block, where shares have passed from an original shareholder to their successor(s).

Out-of-summer slots are to be identified by the Booking Agent so that there are no gaps between any slots, including out-of-summer slots and summer slots. Slots for 2023 are set out below by way of example.

Bookings are made by blocking off the relevant time on the Google Calendar AND by notifying the Booking Agent and all shareholders.

Shareholders may book the cabin only for the current year, or for the following year based on the timelines set out below.

October 31 (the date our 2nd levy is due) is the deadline for any shareholder(s) to select a maximum of 1 week the following year for the primary purpose of completing maintenance or other work projects.

Booking Round One. Shareholders may then book a maximum of 6 consecutive out-of-summer nights for the following year, using the same priority and timelines used for booking slots for the following summer (“Summer Booking Priority). That means shareholders must book their summer slot for the following year, and may book up to 6 out-of-summer nights according to the following deadlines:

Booking Round Two. There will then be a second round of booking out-of-summer dates for the following year, this time also for a maximum of 6 consecutive nights, but now going in reverse priority order to the Summer Booking Priority. That is:

Booking Round Three. There will then be a third round of booking out-of-summer dates for what will then be the current year, again for a maximum of 6 consecutive nights, but now going in original Summer Booking Priority order. That is:

Booking Round Four. Booking after Jan. 25 of the current year shall then be on a first come, first serve basis, and need not be limited to one week only and need not coincide with the pre-determined slots on the Google Calendar.

Canceled Booking. If a shareholder cancels all or part of a booking, shareholders shall have the option to take over all or part of that booking according to the current Summer Booking Priority.

Stated Preference Mechanism. When it is the turn of any shareholder in any booking round to make a selection [or should this be at any time?] that shareholder may indicate a stated preference (“SP”) on the calendar. That indication is for the information of other shareholders only, and would be made in recognition that any shareholder with a higher priority may book all or part of that time when they have priority to do so.

Slots for 2023 are as follows. These have been placed on the Google booking calendar. When booking, shareholders (or the Booking Agent) need only add their name and color to a particular slot.
